Please read carefully. These terms include an arbitration clause and a waiver of your right to participate in a class action or representative lawsuit. Howard Theatre reserves the right to cancel or modify this Site at any time.

Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of thehowardtheatre.org or any other websites and platforms on which these terms reside (collectively, the "Site"), including the features and services made available through this Site, together with our Privacy Policy. Please read these Terms carefully before using this Site. The Site is owned, controlled, and operated by the Historic Howard Theatre, a nonprofit organization located at 620 T Street NW, Washington, DC 20001 ("Howard Theatre," "we," "us," or "our").

By accessing the Site in any way, purchasing tickets or memberships, making a donation, or otherwise engaging with our digital platforms, you agree to be bound by these Terms, conditions, policies, and notices contained in these Terms. If you do not agree, please do not use the Site.

From time to time, we may update this Site and these Terms. Your use of this Site after we post any changes to these Terms constitutes your agreement to those changes. You agree to review these Terms periodically to ensure that you are familiar with the most recent version.

The Howard Theatre may, in its sole discretion, and at any time, discontinue this Site or any part thereof, with or without notice, or may prevent your use of this Site with or without notice to you. You agree that you do not have any rights in this Site and that the Howard Theatre will have no liability to you if this Site is discontinued or your ability to access the Site is terminated. All restrictions, rights granted by you, and all disclaimers and limitations of liability will survive any termination.

Use of the Site

Permitted Use

You may use this Site for lawful purposes consistent with these Terms. Permitted uses include:

  • Purchasing tickets to Howard Theatre events
  • Making donations or becoming a member
  • Accessing information about our programs, history, and mission
  • Signing up for newsletters and event notifications
  • Submitting rental or event inquiries

Prohibited Use

You may not use the Site to:

  • Violate any applicable local, state, federal, or international law or regulation
  • Transmit unsolicited commercial communications or spam
  • Introduce malware, viruses, or any other harmful code
  • Attempt to gain unauthorized access to any portion of the Site or our systems
  • Scrape, crawl, or data-mine the Site without our express written consent
  • Reproduce, distribute, or resell content from the Site without authorization
  • Impersonate the Howard Theatre, its staff, or any other person or entity
  • Use, copy, modify, rent, lease, sublicense, transfer, or otherwise commercially exploit any element of the Site except as expressly permitted by these Terms
  • Create any modifications or derivative works of the Site
  • Reverse engineer the Site
  • Interfere with or disrupt the integrity or performance of the Site or the data contained therein
  • Use any data mining, crawlers, spiders, robots, or similar data gathering or extraction methods
  • Engage in any conduct that would give rise to civil or criminal liability
  • Collect information about other users of the Site for any purpose
  • Impersonate any person or entity or otherwise misrepresent your identity, age, or affiliation

DMCA Notice and Copyright Infringement Claims

If you are a copyright owner and believe that your copyright rights have been violated, please send us a notification under the Digital Millennium Copyright Act ("DMCA") by email to privacy@thehowardtheatre.org with "DMCA Rights" in the subject field. Please include:

  • Identification of the copyrighted work(s) you claim is infringed
  • Identification of the material you claim is infringing and information to help us locate it
  • A physical or electronic signature of the copyright owner or authorized person
  • The claimant's name, address, telephone number(s), and email address
  • A statement that the claimant has a good faith belief that the disputed use is not authorized by the copyright owner or law
  • A statement, under penalty of perjury, that the information is accurate and that the claimant is authorized to act on behalf of the copyright owner

When we receive a valid infringement notice, we will remove or disable access to the subject material and notify the person who posted it, giving them the opportunity to send a counter-notification.

Providing Information

Certain areas of the Site, such as contact and payment forms, require you to provide information to proceed. If you elect not to provide such information, you may not be able to access certain features of the Site. If the Site requires you to submit information, you must provide current, complete, and accurate information as requested.

Ticket Purchases and Refund Policy

Ticket sales are processed through our authorized ticketing partner(s). By completing a purchase, you agree to the terms of both these Terms and the ticketing platform's terms of service. All sales are final unless stated otherwise in the specific event listing.

  • Refunds are not guaranteed and are issued at the Howard Theatre's sole discretion
  • If an event is canceled by the Howard Theatre, ticketholders will receive a full refund or the option to exchange for a future event
  • If an event is postponed, tickets will generally be honored for the rescheduled date
  • Exchanges may be available prior to the event date, subject to availability and any applicable exchange fees
  • The Howard Theatre is not responsible for tickets purchased through unauthorized resellers

All guests must comply with the Howard Theatre's Code of Conduct and any event-specific policies communicated at the time of purchase or at the venue. The Howard Theatre reserves the right to refuse admission or remove any guest whose behavior disrupts the event or threatens the safety of others.

Donations and Membership

All donations to the Historic Howard Theatre are made to a 501(c)(3) nonprofit organization and are tax-deductible to the extent permitted by law. Your tax receipt will be provided via email. We do not issue refunds on charitable donations unless made in error. Contact us within 5 business days of a donation made in error at giving@thehowardtheatre.org.

Membership benefits are subject to the terms outlined at the time of your membership purchase. Memberships are non-transferable and non-refundable after the first 30 days.

Photography and Recording Consent

By entering the venue or attending an event, you consent to being photographed, filmed, or otherwise recorded. You grant the Historic Howard Theatre and its designees the right to use your likeness, image, voice, and appearance in promotional, archival, educational, and commercial materials without compensation except where prohibited by law.

Intellectual Property

All content on this Site, including but not limited to text, images, audio, video, logos, graphics, and programming descriptions, is the property of the Historic Howard Theatre or is used with permission from rights holders. All rights reserved.

You may not reproduce, distribute, modify, display, or create derivative works from any content on this Site without our prior written consent, except for personal, non-commercial use (such as sharing a link or saving a flyer for personal reference).

The Howard Theatre name, logo, and related marks are trademarks of the Historic Howard Theatre. Use of these marks without express written permission is prohibited.

User Submissions

If you submit content to the Site (such as comments, photos, or event reviews), you grant the Howard Theatre a non-exclusive, royalty-free, perpetual license to use, display, reproduce, and distribute that content in connection with our programs and mission. You represent that you have the right to submit such content and that it does not violate the rights of any third party.

We reserve the right to remove any user-submitted content that we determine, in our sole discretion, to be inappropriate, offensive, or inconsistent with our mission and values.

Third-Party Services

This Site may hyperlink to sites not maintained by or related to the Howard Theatre. Hyperlinks are provided as a service to users and are not sponsored by or affiliated with this Site or the Howard Theatre. The Howard Theatre makes no representations or warranties about the content, completeness, or accuracy of those third-party sites. Information you submit at a third-party site accessible from this Site is subject to that site's terms and conditions and privacy policy, and the Howard Theatre has no control over how your information is collected, used, or otherwise handled.

Disclaimer of Warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

The Howard Theatre makes no representations about the reliability of the features of this Site and disclaims all liability in the event of any service failure. You acknowledge that any reliance on such material or systems will be at your own risk.

Limitation of Liability

UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL THE HOWARD THEATRE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF OR INABILITY TO USE THIS SITE, NOR SHALL THE HOWARD THEATRE BE RESPONSIBLE FOR ANY DAMAGES WHATSOEVER THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES, ERRORS, DEFECTS, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE WHETHER OR NOT CAUSED BY EVENTS BEYOND THE HOWARD THEATRE'S REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, COMMUNICATIONS LINE FAILURE, THEFT, DESTRUCTION, OR UNAUTHORIZED ACCESS TO THIS SITE'S RECORDS, PROGRAMS, OR SERVICES. You agree to indemnify and hold the Howard Theatre, its parents, subsidiaries, officers, employees, contractors, and each of their respective officers, employees, and agents harmless from and against any damages and expenses, including reasonable attorneys' fees and costs, related to your violation of these Terms or your misuse of this Site.

Governing Law and Disputes

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, memberships, donations, or services provided by the Historic Howard Theatre shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. These Terms are governed by the laws of the District of Columbia, without regard to conflict of law principles.

For disputes involving ticket purchases of less than $500, we encourage you to contact us directly to resolve the matter informally before initiating legal proceedings.

To the fullest extent permitted by law, disputes shall be brought solely in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general action.

Force Majeure

The Historic Howard Theatre shall not be liable for delays, cancellations, interruptions, or failures in performance resulting from circumstances beyond its reasonable control, including acts of God, severe weather, labor disputes, governmental actions, public health emergencies, power failures, internet outages, terrorism, civil unrest, or other force majeure events.

Mobile Communications

If you opt in to receive SMS text messages from the Howard Theatre, standard message and data rates may apply. Text HELP for help or STOP to unsubscribe at any time. After opting out, you will receive one confirmation message and no further texts. Consent to receive text messages is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.

Electronic Communications

By providing an email address or other electronic contact information, you consent to receive communications electronically and agree that such communications satisfy any legal requirement that communications be in writing.

Severability

If any word, clause, or paragraph of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such word, clause, or paragraph shall be inoperative and void as far as it is in conflict with law. The validity of all remaining words, clauses, and paragraphs shall not be affected thereby.

Miscellaneous

Both you and the Howard Theatre acknowledge and agree that no partnership is formed and neither party has the power or authority to obligate or bind the other. If the Howard Theatre fails to act with respect to your breach or anyone else's breach on any occasion, the Howard Theatre is not waiving its right to act with respect to future or similar breaches.

These Terms, together with the Privacy Policy, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior negotiations, representations, warranties, and agreements between the parties.

Changes to These Terms

We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Material changes will be communicated via the Site or by email. Continued use of the Site after changes constitutes your acceptance of the updated Terms. The Historic Howard Theatre reserves all rights not expressly granted in these Terms.
